By accessing, browsing, or otherwise using Catch Ride (the “Platform”), including any of its content, features, or services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, as well as our Privacy Policy, which is incorporated herein by reference. These Terms constitute a binding agreement between you and Catch Ride, LLC (“Catch Ride”, “we,” “us,” or “our”). If you do not agree to abide by these Terms in their entirety, you are not authorized to access or use the Site or any of the services we provide, and you must immediately discontinue any use.
Catch Ride may revise, update, or otherwise modify these Terms or any Additional Terms at any time in its sole discretion. Except where a different form of notice is required by applicable law, we may provide notice of changes by posting the updated Terms on the Platform or making them available through your account. Your continued access or use of the Platform following any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease all access and use of the Platform.
“Intellectual Property Rights” means all patents, copyrights, trademarks, trade secrets, and other proprietary rights.
“Services” means the mobile application called Catch Ride or the website located at Catchride.co, including all content, functionality, and features offered therein. “User Content” means any information, data, text, or materials submitted, uploaded, transmitted, or otherwise provided by you or your authorized representatives through or in connection with the Platform, including without limitation, horse listings, descriptions, photos, videos, and related materials, Vendor service descriptions, profiles, photos, and videos, availability, scheduling, and capacity data, communications or messages between Users, and any feedback or suggestions submitted to Catch Ride. “Trainer Users” or “Trainers” means professionals responsible for managing horses for sale or lease and coordinating services for such horses, including while traveling and attending shows.
“Vendor Users” or “Vendors” means vetted professional service providers in the equestrian industry, including without limitation, braiders, clippers and others related to grooming service providers, bodywork specialists such as massage, chiropractic, other modalities as accepted by Catch Ride, farriers, shippers and/or transporters, and other professional equestrian service providers accepted by Catch Ride.
“Barn Manager Users” or “Barn Managers” means individuals operating as assistants or support professionals under Trainer accounts with permission-based, limited access as further set forth herein.
Our site's registration form requests that you enter contact information (such as your name and email address). We may share your personal information with trusted third- party service providers who assist us in operating our website and providing our services. This includes cloud hosting providers, managed service providers, cloud storage providers, and others under one or more service agreement(s) to assist us with maintenance, managing marketing, improving and offering the function and operations of our services, websites and app. We require these partners to maintain the confidentiality and security of your information. Please also review our Privacy Policy for information about data-collection and use.
You must be at least eighteen (18) years of age and legally able to enter into contracts and be an active equestrian professional or service provider operating in the equestrian industry, as further described below; and you must meet all applicable verification, vetting, and professional conduct standards established by Catch Ride from time to time.
Subject to Catch Ride’s approval and verification processes, users of the Platform may fall into one or more of the following categories (collectively, “Users”): • Trainers
• Vendors
• Barn Managers
Catch Ride may, in its sole discretion, modify, expand, or restrict the categories of Users from time to time.
As a condition of obtaining and maintaining a Trainer account you must: • be an active United States Equestrian Federation (“USEF”) professional in good standing (or the functional equivalent under applicable national or regional equestrian governing bodies where relevant);
• provide at least two (2) professional trainer references and at least two (2) professional vendor references, all of whom must be verifiable equestrian professionals with direct knowledge of your professional conduct and
reliability; and
• update your account within 3 calendar days if your professional status changes, including but not limited to your standing with USEF or other applicable governing bodies.
You expressly acknowledge that Catch Ride will rely on your representations and may contact your references and other third parties to conduct verification and vetting. As a condition of obtaining and maintaining a Vendor account you must: • complete an application and the vetting process as prescribed by Catch Ride, which may require you to provide without limitation: professional references, documentation or evidence of applicable licenses, certifications, insurance, or other credentials; service-specific information such as training, equipment, areas of specialization, geographic coverage; and vendor-to- vendor references
• satisfy any service-specific requirements established by Catch Ride for your category of services; and
• update your account within 3 calendar days of the effective date of any material changes in your credentials, qualifications, or service offerings. Vendor account holders may apply for multiple service types under a single account, subject to the following:
• each service type (e.g., braiding, clipping, grooming, bodywork, farrier services, shipping) requires its own application, verification, and professional references;
• referral and verification processes are conducted and evaluated separately for each service type; and
• Catch Ride may approve, conditionally approve, or deny any service type application independently of others under the same Vendor account.
The Platform is intentionally closed to unverified or public users. Catch Ride does not permit access to the Platform by non-verified individuals or the general public. Any attempt to create or maintain an account without completing the verification requirements, or to access the Platform without authorization, constitutes a material breach of these Terms.
We have the discretion to use flexible onboarding methods. Catch Ride may collect information from and onboard Trainers and Vendors through an application, direct communication, or any other method Catch Ride deems appropriate in its sole discretion. The method of onboarding does not affect or waive any eligibility, verification, or vetting requirements set forth in these Terms.
We have discretion to adjust verification requirements. Catch Ride may, in its sole discretion, waive, reduce, or modify any verification or vetting requirement on a case-by- case basis. Any such waiver or modification shall not constitute a precedent or obligate Catch Ride to grant the same or similar treatment to any other User.
Catch Ride may, at any time, review your eligibility to participate as a User of any category, and as such, may from time to time:
• request updated information or documentation to confirm your continued eligibility and professional status;
• conduct re-verification or additional vetting; and
• suspend or terminate your access to the Platform if you fail to provide requested information, no longer meet eligibility requirements, or otherwise fail to comply with these Terms.
Your eligibility to use the Platform is at all times subject to Catch Ride’s continuing approval and discretion.
To access and use certain features of the Platform, you must create an account and provide accurate, current, and complete information. You agree to:
• maintain the confidentiality of your login credentials;
• not permit any unauthorized person to access or use your account;
• promptly notify Catch Ride of any suspected or actual unauthorized use of your account or other security breach; and
• be solely responsible for all activities that occur under your account. Each Trainer account shall be owned and controlled by the individual or entity identified as the Trainer at the time of registration and verified by Catch Ride. Trainer accounts are:
• non-transferable without Catch Ride’s prior written consent;
• subject to the verification requirements set forth in Section 2;
• the primary accounts under which Barn Managers may be linked.
A Trainer may, subject to Catch Ride’s approval and technical constraints, link up to two (2) Barn Managers to the Trainer’s account. Barn Managers:
• are granted permission-based access as designated by the Trainer and permitted by the Platform;
• are authorized to perform only those actions expressly allowed by the Platform for Barn Managers and set forth in these Terms.
Subject to the Platform’s functionality and these Terms, Barn Managers may: • view all horses currently available on the Platform in order to assist Trainers in sourcing horses for clients;
• view vetted Vendors and their availability by show, city, or region; • coordinate trials and services on behalf of their Trainer, including contacting Vendors and other Trainers through the Platform;
• message Trainers and Vendors through the Platform;
• update their Trainer’s horse availability and listings parameters (e.g., show location, city, or date-based availability) as travel plans change; and • view past services coordinated through the Platform for reference and rebooking.
Barn Managers are expressly prohibited from:
• creating or publishing horse listings for sale or lease in their own name or on behalf of any party other than the Trainer to whom they are linked;
• acting independently of the Trainer account to which they are linked, including but not limited to representing themselves as independent Trainers on the Platform;
• modifying account ownership, verification details, or any fundamental account credentials or professional representations of the Trainer;
• creating or managing Vendor accounts or impersonating Vendors.
Any attempt by a Barn Manager to exceed these limitations constitutes a material breach of these Terms and may result in immediate suspension or termination of the Barn Manager and/or Trainer account at Catch Ride’s discretion.
Regardless of any delegation, Trainers are solely responsible for:
• selecting, supervising, and managing any Barn Managers linked to their accounts;
• ensuring that Barn Managers comply with these Terms and all applicable laws;
• all actions, omissions, and communications of Barn Managers taken through the Platform, which shall be deemed actions of the Trainer for all purposes under these Terms.
Vendors may create and maintain professional profiles visible only to Trainers and Barn Managers and to such other categories of Users as Catch Ride may expressly authorize. Vendor accounts may include:
• service descriptions, including without limitation, braiding, clipping, grooming, bodywork, farrier services, shipping, and other related equestrian services; • service-specific availability whether by show, city or region, travel circuit, and capacity by horses per day or similar metrics;
• stated cancellation policies;
• geographic and travel preferences; and
• service history references viewable through the Platform, as enabled. Vendors remain solely responsible for the accuracy and completeness of their profiles, service descriptions, and availability information.
Catch Ride may, in its sole discretion, permit a User to hold more than one role, for example, a Trainer who is also a Vendor. In such cases, the User must satisfy all verification and eligibility requirements associated with each role, and each role shall be treated as a distinct capacity under these Terms.
Catch Ride operates a private, professional infrastructure Platform designed specifically for the equestrian industry. The Platform provides a structured and reliable method for equestrian professionals to coordinate horses, professional services, and availability in real time. The Platform is designed around the realities of a mobile, relationship-driven industry and focuses on visibility, flexibility, and professional trust, rather than public exposure or volume.
Without limiting the generality of the foregoing, the Platform may provide some or all of the following functions to Trainers and Vendors:
• Verified Professional Access. Access restricted to verified Trainers, Vendors, and Barn Managers, each maintaining private, professional profiles visible only to other verified Users.
• Horse Listings for Trainers. Tools for Trainers to create and manage listings for horses offered for sale, lease, or weekly lease, add key horse details, including without limitation discipline, height, age, tags, and other attributes determined by Catch Ride; control which horses are visible at which show and city locations; turn availability on or off as plans change; and maintain location- and date-based availability calendars for each horse.
• Availability by Location. Tools for Users to indicate where horses and services will be available, including at specific horse shows, in specific cities or regions, and along travel circuits, with updates as schedules shift. • Vendor Discovery. Search tools enabling Trainers and Barn Managers to discover Vendors by service type, including without limitation, braiding, grooming, clipping, bodywork, farrier services, shipping, and other approved services), show, city, region, or travel circuit, and stated current availability and capacity.
• Service-Specific Vendor Features. Service-specific tools enabling Vendors to create professional profiles visible only to Trainers and Barn Managers, list specific services offered, service areas, and travel preferences, indicate daily or route-based capacity, including without limitation, number of horses per day, number of horse spaces, full-day or half-day availability, and shipping load capacity, manage availability such that visibility automatically adjusts based on coordination, capacity fill, and schedule changes, clearly display their cancellation policies, which may be reiterated at the time of
coordination, and view and manage service history for reference and
rebooking.
• Direct Communication. In-app messaging tools allowing Trainers, Vendors, and Barn Managers to communicate directly, coordinate services, and
arrange trials.
• Barn Manager Support. Tools enabling Barn Managers to perform the
functions described in Section 3.
You acknowledge and agree that not all features are available today but may be made available as part of planned or future features and that any references to future or planned features do not constitute a guarantee or commitment that such features will be released, available in any particular region or jurisdiction, or operate in a specific manner.
The Platform is an infrastructure coordination tool, not a transaction platform. Specifically, and without limitation:
• Catch Ride provides professional-to-professional infrastructure similar in concept to professional listing systems, facilitating visibility, structure, and adaptability in professional relationships;
• Catch Ride does not create, manage, or own the underlying transactions between Trainers, Vendors, and their clients; and
• Catch Ride does not interfere with existing working relationships or financial arrangements among Users, except to the limited extent described in any future payment protection features that may be expressly adopted and
acknowledged by Users.
Catch Ride does not process payments for horse sales, leases, or weekly leases. Catch Ride does not hold escrow funds or otherwise handle transaction monies related to such sales or leases nor does it calculate, negotiate, or enforce pricing, commissions, or financial terms of horse transactions.
At this time, Catch Ride does not process payments for Vendor services. Any such payments for Vendor services are arranged directly between Trainers or their clients and Vendors.
Catch Ride shall have no responsibility or liability for any non-payment, delayed payment, underpayment, or disputes regarding payment for Vendor services. Except to the extent specifically described in any future Vendor payment protection or similar programs that you may separately agree to, Catch Ride does not charge commissions on horse transactions or Vendor services. We do not advise on, control, or interfere with pricing or financial agreements between Users, and Users remain solely responsible for the negotiation and performance of their financial arrangements. Catch Ride does not manage end-client relationships on behalf of Trainers or Vendors. We neither schedule nor confirm appointments or services directly with end clients. And we do not guarantee that any Trainer or Vendor will secure or retain clients through the Platform.
The Platform is not a public marketplace and is not open to non-verified, non- professional, or consumer users. Client-facing materials, including without limitation, Trainer-generated horse lists, are intentionally designed to omit certain sensitive listing details, and such materials do not create any direct relationship between Catch Ride and the Trainers’ clients.
Catch Ride does not guarantee the outcomes to Users, including without limitation, we do not guarantee any horse listing will result in a sale or lease, any Vendor will secure bookings or repeat business, any particular scheduling or coordination outcome, or that any particular level of Platform availability, visibility, or search ranking.
The Platform is designed for professional use only. All Users are expected to conduct themselves in a manner consistent with professional norms and industry standards in the equestrian community, including but not limited to:
• respect for other Users and their clients;
• reliability and timely communication;
• honesty regarding availability, credentials, and services offered;
• compliance with applicable laws, regulations, and governing body rules, including USEF rules or equivalent.
Without limiting any other obligations under these Terms, Users shall not, in connection with the Platform:
• misrepresent their identity, credentials, qualifications, experience, or availability;
• post or transmit any false, misleading, or fraudulent information;
• engage in harassment, discrimination, defamation, or abusive conduct towards any individual or group;
• engage in conduct that undermines trust, professionalism, or safety within the equestrian industry;
• use the Platform for any illegal purpose or in violation of any applicable law or regulation;
• attempt to circumvent verification processes or impersonate any other person or entity; or
• interfere with, disrupt, or attempt to gain unauthorized access to the Platform or any User account.
Each User is solely responsible for compliance with industry rules, including without limitation, ensuring that their use of the Platform and their professional activities comply with all applicable laws, regulations, and professional standards, including but not limited to animal welfare laws, employment laws, transportation regulations, and competition rules; and obtaining and maintaining all licenses, permits, insurance, and other authorizations required for their professional activities.
Catch Ride reserves the right, but does not undertake any obligation, to monitor, review, or record any content, communications, listings, or other activity on the Platform; and investigate any potential violation of these Terms, Community Standards, or applicable laws.
Without limiting any other rights or remedies, Catch Ride may, in its sole discretion and at any time, with or without notice issue warnings, temporarily suspend or limit access to any account, feature, or functionality, remove, edit, or refuse to display any content or listing, or permanently terminate any account or prohibit any person from accessing or using the Platform.
Upon termination or suspension of an account, Catch Ride may, but is not obligated to, retain any data, content, or communications associated with that account, subject to applicable law. Catch Ride may permanently delete or anonymize such data in accordance with its data retention policies.
While Catch Ride may, in its discretion, facilitate limited communications or investigations, Catch Ride has no obligation to resolve or mediate disputes between Users, including without limitation disputes over payment, quality of services, scheduling, or professional conduct.
User Obligations; Representations and Warranties
You represent, warrant, and covenant that all information you provide to Catch Ride, including but not limited to registration data, verification information, professional credentials, references, service descriptions, availability, and listing details, is and shall remain true, accurate, current, and complete, and that you will promptly correct or update such information as needed.
You further represent and warrant that you are acting in a professional capacity within the equestrian industry, not as a consumer client, you are duly qualified, licensed, and insured, as required by industry standards, to perform the services or activities you represent on the Platform. And you further represent and warrant that you will exercise reasonable care, skill, and diligence consistent with professional standards in all services and activities you coordinate or perform in connection with the Platform. Users acknowledge and agree that Catch Ride is not a party to any agreement between Trainers, Vendors, Barn Managers, or their clients. Users act solely as independent contractors or independent businesses in relation to each other and to Catch Ride. Nothing in these Terms creates any employment, joint venture, partnership, or agency relationship between Catch Ride and any User, or between any Users; and no User is authorized to bind Catch Ride in any manner.
You are solely responsible for complying with any contractual, ethical, or policy obligations you owe to third parties, including your employer, clients, or governing organizations, as well as, ensuring that your use of the Platform does not violate any such obligations.
You are responsible for obtaining and maintaining all devices, software, and internet connectivity necessary to access and use the Platform. Catch Ride is not responsible for any data charges, connectivity issues, or device-related problems you may encounter.
While Catch Ride endeavors to maintain a reliable Platform, we do not guarantee continuous, uninterrupted, or error-free operation. The Platform may be unavailable from time to time for maintenance, upgrades, updates, or due to technical issues or events beyond our reasonable control.
Catch Ride reserves the right, at any time and from time to time, without liability to you to modify, enhance, or discontinue any aspect of the Platform, including features, functionalities, or content, to introduce new features or impose limitations or conditions on existing features, and to alter the timing or scope of phased rollouts.
Access to the Services is currently provided at no charge during our introductory launch period. We make no representation that the Services will remain free of charge indefinitely. In addition, Catch Ride may limit the number of Users or accounts eligible for free introductory access or impose other conditions or limitations on free introductory access.
Catch Ride may, in its sole discretion, designate certain early Users as founding Users and offer them founding access benefits, which may include preferred pricing, priority onboarding, early access to new features, or other advantages. Any such benefits are granted at Catch Ride’s discretion, may be subject to additional eligibility criteria, and may be modified, conditioned, or terminated by Catch Ride at any time. We reserve the right to introduce, modify, or discontinue fees for any aspect of the Services at any time. We will provide Users with no less than 30 days advance written notice prior to the implementation of any new fees, which may include in-app notification or email, of material changes in subscription fees or pricing structure. Your continued use of the Platform following such notice constitutes your agreement to the new fees. We may introduce transaction-based fees, commissions, or service charges on transactions facilitated through the Platform. Such fees, if introduced, will be disclosed to users pursuant to our right to modify pricing under these Terms.
We may introduce third-party payment processing services, which would be provided by third-party processors. Users may be subject to the terms and fees of such processors, for which we bear no responsibility.
All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes, duties, or governmental assessments associated with your access to or use of the Platform, excluding taxes based on Catch Ride’s net income. Except as required by applicable law or expressly provided in a written agreement between you and Catch Ride, all fees, once paid, are non-refundable, including in the event of suspension or termination of your account.
You will be required to accept any specific additional terms applicable to such programs before participating in them.
Catch Ride and its licensors own and shall retain all right, title, and interest, including without limitation, all intellectual property rights in and to 1) the Platform, including all software, code, interfaces, databases, designs, layouts, and functionalities, 2) all trademarks, service marks, logos, and trade names used in connection with the Platform; 3) all content created by or on behalf of Catch Ride, including text, graphics, images, and compilations; and 4) all enhancements, modifications, and derivative works thereof. In each case excluding User Content as defined in the Definition Section above. You acquire no ownership interest in the Platform or any Catch Ride intellectual property except for the limited license granted below.
Subject to your compliance with these Terms, Catch Ride grants you a limited, non- exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform, solely in your professional capacity as an eligible User, and solely for the purposes permitted by these Terms.
As between you and Catch Ride, you retain any ownership rights you have in your User Content, subject to the license granted to Catch Ride below. You represent and warrant that:
• you own or have all necessary rights, consents, and permissions to submit User Content and grant the license below;
• your User Content does not infringe, misappropriate, or violate any third- party rights, including intellectual property, privacy, or publicity rights. By submitting or providing User Content, you grant Catch Ride and its affiliates a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to: • use, reproduce, display, perform, modify, transmit, distribute, and otherwise exploit such User Content in connection with operating, improving,
marketing, and providing the Platform, including to other Users as
appropriate;
• create aggregated or anonymized data sets derived from User Content for analytics, product development, and industry insights, provided such
aggregated or anonymized data does not identify you or your clients by name.
You shall be restricted and therefore you shall not:
• copy, reproduce, modify, distribute, or create derivative works of the Platform, except as expressly permitted by these Terms or applicable law; • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform, except to the extent such restriction is prohibited by law;
• remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on or in the Platform.
Catch Ride may, at any time and in its sole discretion, remove, edit, or refuse to display any User Content that violates these Terms or applicable law, is inaccurate, misleading, or incomplete, or that Catch Ride believes may expose it or other Users to liability or harm.
Catch Ride has no obligation to store or maintain any User Content after termination of your account.
Catch Ride’s collection, use, and disclosure of personal information is governed by our Privacy Policy, as updated from time to time. By using the Platform, you consent to the collection, use, and disclosure of your information in accordance with the Privacy Policy and these Terms.
Confidentiality of Professional Information. The Platform is designed as a private, professional environment. Subject to these Terms and the Privacy Policy: • Trainer profiles, Vendor profiles, and professional contact information are generally visible only to verified Users, not to the general public;
• certain client-facing features (such as Trainer-generated horse lists shared via email) are intentionally configured to omit sensitive details, including without limitation seller identity, Trainer contact information, exact barn location, and USEF numbers, to keep the Trainer central to the client relationship;
• Catch Ride will use commercially reasonable efforts to maintain the confidentiality of User professional information, subject to legal requirements, enforcement needs, and legitimate business purposes.
Catch Ride may use data derived from your use of the Platform, including User Content and metadata, for purposes including:
• operating, maintaining, and improving the Platform;
• performing analytics and generating aggregated or anonymized statistics; • developing new products, services, and features;
• enforcing these Terms and detecting, preventing, or addressing fraud, security, or technical issues.
While Catch Ride will use commercially reasonable security measures to protect data within its control, no system or transmission can be guaranteed to be 100% secure. You acknowledge and agree that you provide information at your own risk and that Catch Ride is not liable for unauthorized access, disclosure, or loss of data except to the extent required by applicable law.
You are responsible for maintaining the confidentiality of any non-public information you obtain through the Platform, including the professional contact information, availability, and service history of other Users. You agree not to:
• disclose such information to any third party except as strictly necessary to conduct your professional activities and only in compliance with applicable law;
• use such information to build, operate, or contribute to any competing platform, database, or service.
You may use the Platform solely for lawful purposes and in accordance with these Terms, only in your professional capacity as a Trainer, Vendor, or Barn Manager. You agree to comply with all applicable laws and regulations in connection with your use of the Platform.
You shall not, and shall not permit any third party to:
• use the Platform for any illegal, fraudulent, or unauthorized purpose; • upload, post, or transmit any content that is unlawful, defamatory, obscene, harassing, hateful, discriminatory, or otherwise objectionable;
• impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;
• use the Platform to send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or other forms of solicitation;
• interfere with or disrupt the operation of the Platform or servers or networks connected to the Platform;
• attempt to gain unauthorized access to the Platform, other accounts, or any related systems or networks;
• harvest, collect, or otherwise obtain information about other Users, including email addresses or other contact information, without their express consent and in violation of these Terms;
• use any robot, spider, scraper, or other automated means to access the Platform for any purpose, including monitoring or copying any material on the Platform, without Catch Ride’s express prior written consent;
• reverse engineer, decompile, or disassemble the Platform, except as expressly permitted by applicable law;
• use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use and enjoyment of the Platform.
In order to protect the integrity of the Platform, you shall not:
• attempt to circumvent or undermine any verification, access control, or security measures implemented by Catch Ride;
• attempt to create or maintain accounts under false identities or through misrepresentation of professional credentials;
• exploit the Platform to engage in coordinated behavior that violates antitrust or competition laws, including price-fixing or market allocation.
DISCLAIMERS; NO WARRANTIES
THE PLATFORM AND ALL INFORMATION, CONTENT, AND SERVICES MADE
AVAILABLE THROUGH THE PLATFORM ARE PROVIDED AS IS AND AS
AVAILABLE, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS,
IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW, CATCH RIDE EXPRESSLY DISCLAIMS ALL WARRANTIES,
WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT
LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY

WITHOUT LIMITING THE FOREGOING, CATCH RIDE DOES NOT WARRANT OR
GUARANTEE THAT ANY INFORMATION PROVIDED ON OR THROUGH THE
PLATFORM, INCLUDING LISTINGS, AVAILABILITY, CREDENTIALS, REFERENCES,
OR SERVICE DESCRIPTIONS, IS ACCURATE, COMPLETE, UP-TO-DATE, OR
RELIABLE, NOR THAT ANY PARTICULAR TRAINER, VENDOR, BARN MANAGER,
OR OTHER USER IS SUITABLE, QUALIFIED, SAFE, OR TRUSTWORTHY, NOR
THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY
PARTICULAR RESULT, OR BE COMPATIBLE WITH ANY PARTICULAR DEVICE,
SYSTEM, OR NETWORK.
USERS ARE SOLELY RESPONSIBLE FOR CONDUCTING THEIR OWN DUE
DILIGENCE AND EXERCISING INDEPENDENT JUDGMENT IN SELECTING AND
ENGAGING OTHER USERS.
CATCH RIDE DOES NOT WARRANT THAT THE PLATFORM WILL BE
UNINTERRUPTED, SECURE, OR FREE FROM ERRORS, VIRUSES, OR OTHER
DEFECTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE EXTENT THE PLATFORM INTEROPERATES WITH OR LINKS TO THIRD-
PARTY SYSTEMS, SERVICES, OR INTEGRATIONS INCLUDING WITHOUT
LIMITATION ANY FUTURE SHOW MANAGEMENT INTEGRATIONS OR USEF DATA
SERVICES CATCH RIDE DOES NOT CONTROL, ENDORSE, OR ASSUME ANY
RESPONSIBILITY FOR SUCH THIRD-PARTY SYSTEMS OR SERVICES, ANY USE
OF OR RELIANCE ON SUCH THIRD-PARTY SYSTEMS OR SERVICES IS AT YOUR
SOLE RISK AND SUBJECT TO THE APPLICABLE THIRD-PARTY TERMS AND
POLICIES, AND CATCH RIDE MAKES NO WARRANTIES REGARDING THE
AVAILABILITY, ACCURACY, OR PERFORMANCE OF ANY THIRD-PARTY SYSTEMS
OR SERVICES.
EQUINE ACTIVITY AND ANIMAL RISK DISCLAIMER
THE PLATFORM IS DESIGNED TO FACILITATE COORDINATION AMONG
EQUESTRIAN PROFESSIONALS AND INHERENTLY INVOLVES ACTIVITIES
ASSOCIATED WITH HORSES AND EQUINE-RELATED SERVICES. YOU
EXPRESSLY ACKNOWLEDGE AND AGREE THAT EQUINE ACTIVITIES,
INCLUDING WITHOUT LIMITATION HORSE HANDLING, TRAINING,
TRANSPORTATION, GROOMING, BODYWORK, FARRIER SERVICES, AND
RELATED ACTIVITIES, INVOLVE INHERENT RISKS THAT CANNOT BE
ELIMINATED, INCLUDING BUT NOT LIMITED TO THE UNPREDICTABLE NATURE
AND BEHAVIOR OF HORSES, THE HAZARDS OF HORSE TRANSPORTATION, THE
RISKS OF PHYSICAL INJURY TO PERSONS OR ANIMALS, AND THE POTENTIAL
FOR PROPERTY DAMAGE. TO THE FULLEST EXTENT PERMITTED BY
APPLICABLE LAW, INCLUDING WITHOUT LIMITATION THE SOUTH CAROLINA
EQUINE ACTIVITY LIABILITY ACT (S.C. CODE ANN. § 47-9-710 ET SEQ.) AND ANY EQUIVALENT STATUTE IN ANY OTHER APPLICABLE JURISDICTION, CATCH RIDE
DISCLAIMS ALL LIABILITY FOR INJURY, LOSS, OR DAMAGE ARISING FROM THE
INHERENT RISKS OF EQUINE ACTIVITIES FACILITATED THROUGH OR IN
CONNECTION WITH THE PLATFORM.
CATCH RIDE IS NOT A PARTY TO ANY AGREEMENT, ARRANGEMENT, OR
TRANSACTION BETWEEN USERS RELATING TO HORSES, EQUINE SERVICES,
OR EQUINE-RELATED ACTIVITIES. CATCH RIDE EXPRESSLY DISCLAIMS ALL
RESPONSIBILITY AND LIABILITY FOR ANY INJURY, ILLNESS, DEATH, OR LOSS
OF ANY HORSE OR OTHER ANIMAL ARISING OUT OF OR IN CONNECTION WITH
ANY SERVICE, TRANSACTION, COORDINATION, OR ACTIVITY FACILITATED
THROUGH THE PLATFORM, INCLUDING WITHOUT LIMITATION INJURIES OR
LOSSES OCCURRING DURING OR AFTER GROOMING, BODYWORK,
CHIROPRACTIC, FARRIER SERVICES, OR ANY OTHER VENDOR SERVICES
COORDINATED THROUGH THE PLATFORM. USERS ACKNOWLEDGE THAT
CATCH RIDE DOES NOT SUPERVISE, OVERSEE, OR CONTROL THE MANNER IN
WHICH ANY VENDOR PERFORMS SERVICES, OR THE MANNER IN WHICH ANY
TRAINER MANAGES, HANDLES, OR CARES FOR HORSES.
WITH RESPECT TO HORSE TRANSPORTATION AND SHIPPING SERVICES
FACILITATED THROUGH THE PLATFORM: (I) CATCH RIDE MAKES NO
REPRESENTATION OR WARRANTY REGARDING THE SAFETY, FITNESS, OR
REGULATORY COMPLIANCE OF ANY SHIPPER OR TRANSPORTER ACCESSIBLE
THROUGH THE PLATFORM; (II) CATCH RIDE EXPRESSLY DISCLAIMS ALL
LIABILITY FOR ANY INJURY, ILLNESS, DEATH, OR LOSS OF ANY HORSE OR
OTHER ANIMAL OCCURRING DURING OR AS A RESULT OF TRANSPORTATION
ARRANGED THROUGH THE PLATFORM; (III) SHIPPERS AND TRANSPORTERS
ARE SOLELY RESPONSIBLE FOR COMPLIANCE WITH ALL APPLICABLE
FEDERAL, STATE, AND LOCAL TRANSPORTATION LAWS AND REGULATIONS,
INCLUDING WITHOUT LIMITATION APPLICABLE UNITED STATES DEPARTMENT
OF AGRICULTURE ANIMAL AND PLANT HEALTH INSPECTION SERVICE (USDA
APHIS) REGULATIONS GOVERNING THE TRANSPORT OF HORSES; AND (IV)
USERS ARE SOLELY RESPONSIBLE FOR VERIFYING THE INSURANCE
COVERAGE, CERTIFICATIONS, AND REGULATORY COMPLIANCE OF ANY
SHIPPER OR TRANSPORTER PRIOR TO ENGAGING THEIR SERVICES THROUGH
THE PLATFORM.
VENDORS PROVIDING HEALTH-RELATED OR PHYSICALLY MANIPULATIVE
SERVICES TO HORSES, INCLUDING WITHOUT LIMITATION BODYWORK,
MASSAGE, CHIROPRACTIC, AND SIMILAR MODALITIES, REPRESENT AND
WARRANT THAT: (I) THEY HOLD ALL CERTIFICATIONS, LICENSES, AND
CREDENTIALS REQUIRED BY APPLICABLE LAW AND PROFESSIONAL
STANDARDS FOR THE SERVICES THEY OFFER IN EACH JURISDICTION IN
WHICH THEY OPERATE; (II) WHERE APPLICABLE LAW OR PROFESSIONAL
STANDARDS REQUIRE VETERINARY REFERRAL, PRESCRIPTION, OR
OVERSIGHT FOR ANY SERVICE, SUCH VENDOR WILL OBTAIN AND MAINTAIN
ALL REQUIRED REFERRALS OR AUTHORIZATIONS PRIOR TO PERFORMING
SUCH SERVICES; AND (III) THEY MAINTAIN ADEQUATE PROFESSIONAL
LIABILITY INSURANCE COVERING THEIR EQUINE SERVICE ACTIVITIES. CATCH
RIDE DOES NOT INDEPENDENTLY VERIFY, ENDORSE, OR WARRANT THE
QUALIFICATIONS, CERTIFICATIONS, OR INSURANCE COVERAGE OF ANY
HEALTH-RELATED VENDOR, AND USERS ENGAGE SUCH VENDORS AT THEIR
SOLE RISK.
THE PLATFORM FACILITATES VISIBILITY FOR HORSES OFFERED FOR SALE,
LEASE, OR WEEKLY LEASE BY TRAINER USERS. CATCH RIDE MAKES NO
REPRESENTATION OR WARRANTY REGARDING THE HEALTH, SOUNDNESS,
SUITABILITY, TEMPERAMENT, FITNESS FOR ANY PARTICULAR PURPOSE, OR
COMPLIANCE WITH ANY GOVERNING BODY ELIGIBILITY REQUIREMENTS OF
ANY HORSE LISTED ON THE PLATFORM. ALL HORSE LISTINGS ARE PREPARED
AND PROVIDED SOLELY BY TRAINER USERS, AND CATCH RIDE IS NOT
RESPONSIBLE FOR THE ACCURACY, COMPLETENESS, OR TRUTHFULNESS OF
ANY LISTING INFORMATION. PROSPECTIVE PURCHASERS, LESSEES, AND
THEIR REPRESENTATIVES ARE SOLELY RESPONSIBLE FOR CONDUCTING
INDEPENDENT DUE DILIGENCE PRIOR TO ENTERING INTO ANY HORSE SALE
OR LEASE TRANSACTION, INCLUDING WITHOUT LIMITATION OBTAINING A
QUALIFIED VETERINARY PRE-PURCHASE EXAMINATION. CATCH RIDE
EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY LOSS, DAMAGE, OR DISPUTE
ARISING OUT OF OR RELATING TO ANY HORSE SALE, LEASE, OR WEEKLY
LEASE TRANSACTION FACILITATED THROUGH THE PLATFORM.
THE PLATFORM IS DESIGNED TO FACILITATE PROFESSIONAL COORDINATION
IN THE CONTEXT OF HORSE SHOWS AND EQUESTRIAN COMPETITION. CATCH
RIDE EXPRESSLY DISCLAIMS ALL LIABILITY FOR: (I) ANY VIOLATION OF USEF RULES, FEDERATION EQUESTRE INTERNATIONAL (“FEI”) REGULATIONS, OR
THE RULES OF ANY OTHER APPLICABLE EQUESTRIAN GOVERNING BODY
ARISING FROM OR IN CONNECTION WITH SERVICES OR ACTIVITIES
COORDINATED THROUGH THE PLATFORM, INCLUDING WITHOUT LIMITATION
THE ADMINISTRATION OF ANY PROHIBITED SUBSTANCE BY A VENDOR
ENGAGED THROUGH THE PLATFORM; (II) ANY COMPETITION OUTCOME,
INCLUDING WITHOUT LIMITATION SCRATCHES, ELIMINATIONS,
DISQUALIFICATIONS, OR OTHER ADVERSE RESULTS, WHETHER OR NOT
RELATED TO SERVICES ARRANGED THROUGH THE PLATFORM; AND (III) ANY
DISCIPLINARY ACTION, SUSPENSION, FINE, OR OTHER CONSEQUENCE
IMPOSED BY ANY EQUESTRIAN GOVERNING BODY IN CONNECTION WITH A
USER'S PROFESSIONAL ACTIVITIES. EACH USER REMAINS SOLELY
RESPONSIBLE FOR ENSURING THAT THEIR USE OF THE PLATFORM AND ANY
SERVICES ARRANGED THROUGH IT COMPLY WITH ALL APPLICABLE
GOVERNING BODY RULES AND COMPETITION REGULATIONS.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT
SHALL CATCH RIDE, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS,
OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY
DAMAGES, LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS
OPPORTUNITY, OR ANTICIPATED SAVINGS, LOSS, CORRUPTION, OR
UNAUTHORIZED ACCESS OF DATA ARISING OUT OF OR IN CONNECTION WITH
THESE TERMS, THE PLATFORM, OR YOUR USE OF OR INABILITY TO USE THE
PLATFORM, WHETHER BASED ON CONTRACT, TORT, INCLUDING WITHOUT
LIMITATION, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY,
EVEN IF CATCH RIDE ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS,
OFFICERS, EMPLOYEES, AGENTS OR LICENSORS HAVE BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL
AGGREGATE LIABILITY OF CATCH RIDE, ITS AFFILIATES, OR THEIR
RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS
TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR
THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT
EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY YOU
TO CATCH RIDE FOR ACCESS TO THE PLATFORM DURING THE TWELVE (12)
MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE
CLAIM; OR IF YOU HAVE NOT PAID ANY SUBSCRIPTION FEES, ONE HUNDRED
U.S. DOLLARS (USD $100).
THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION ARE FUNDAMENTAL
ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND CATCH RIDE.
YOU ACKNOWLEDGE THAT CATCH RIDE HAS SET ITS PRICING, INCLUDING ANY
INTRODUCTORY, PROMOTIONAL, OR TEMPORARY FEES IN RELIANCE ON
THESE LIMITATIONS OF LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF
CERTAIN DAMAGES OR IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE
LIABILITY OF CATCH RIDE, ITS AFFILIATES, OR THEIR RESPECTIVE
DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS SHALL BE
LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Catch Ride, its affiliates, or their respective directors, officers, employees, agents, or licensors from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses, including without limitation, reasonable attorneys’ fees arising out of or relating to your use of or access to the Platform, including any interactions or agreements with other Users, your breach or alleged breach of these Terms or any Additional Terms, your violation of any applicable law, regulation, or industry rule including, without limitation, USEF or other governing body rules, your User Content, including allegations that such User Content infringes, misappropriates, or violates any third-party rights, and any services you perform or fail to perform in connection with the Platform, including but not limited to professional negligence, animal injuries, property damage, or personal injuries.
Catch Ride shall provide you with prompt written notice of any claim for which it seeks indemnification, provided that any delay in providing notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such delay. Catch Ride may, at its option, permit you to assume control of the defense of such claim, provided that Catch Ride may participate in the defense with counsel of its choice at its own expense, you shall not settle any claim without Catch Ride’s prior written consent if such settlement (i) imposes any obligation on or admission by Catch Ride, or (ii) does not provide a full release of the Catch Ride Parties. If you fail to diligently defend the claim, Catch Ride may assume control of the defense at your expense.
These Terms commence upon your first access to or use of the Platform and continue in effect until terminated in accordance with this Section. You may terminate your account and cease using the Platform at any time by following the account closure procedures provided in the Platform or by contacting Catch Ride support, subject to any outstanding payment obligations or commitments under separate agreements. Catch Ride may, in its sole discretion, at any time and for any reason or no reason, with or without cause and with or without notice:
• suspend or terminate your account or access to all or part of the Platform; • remove or disable any of your User Content;
• restrict or limit your access to certain features or functionalities. Grounds for termination or suspension may include, without limitation, violations or suspected violations of these Terms, community standards, or applicable law. Upon termination of your account or these Terms:
• your license to use the Platform shall immediately cease;
• you shall immediately stop using and accessing the Platform;
• Catch Ride may, subject to applicable law, delete or disable access to your account and User Content, except that Catch Ride may retain copies for backup, archival, or legal compliance purposes; and
• any provisions of these Terms that by their nature should survive termination including, without limitation, Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution, shall survive.
To the maximum extent permitted by law, Catch Ride shall not be liable to you or any third party for any suspension, termination, or restriction of access pursuant to this Section.
These Terms and any dispute arising out of or relating to these Terms, the Platform, or your use of the Platform shall be governed by and construed in accordance with the laws of the State of South Carolina, without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any other jurisdiction.
Subject to any binding arbitration provision that the parties may adopt in Additional Terms, you agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the state or federal courts located in South Carolina, and you hereby consent to the personal jurisdiction and venue of such courts and waive any objection thereto, including based on forum non conveniens.
Before initiating any formal legal proceeding, you agree to first contact Catch Ride in writing to attempt to resolve the dispute informally. Catch Ride may, but is not obligated to, participate in informal settlement discussions or mediation.
To the maximum extent permitted by law, any claim or cause of action arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the claim or cause of action accrues; otherwise, such claim or cause of action is permanently barred.
These Terms, together with any Additional Terms and the Privacy Policy, constitute the entire agreement between you and Catch Ride with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, negotiations, and communications, whether written or oral, relating to such subject matter. No amendment to these Terms shall be effective unless in writing and posted or otherwise made available by Catch Ride. No waiver by Catch Ride of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Catch Ride to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. Such invalidity, illegality, or unenforceability shall not affect any other jurisdiction.
You may not assign, delegate, or transfer these Terms, in whole or in part, by operation of law or otherwise, without Catch Ride’s prior written consent. Catch Ride may assign or transfer these Terms, in whole or in part, without restriction. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Catch Ride. You have no authority to bind Catch Ride in any respect.
Catch Ride shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by an event or circumstance beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil disturbances, labor disputes, failures of telecommunications or internet service providers, or governmental action. Catch Ride may provide notices to you under these Terms by:
• posting such notices on the Platform;
• sending an email to the email address associated with your account; or • delivering an in-app notification.
Notices shall be deemed given when posted or transmitted. You shall send notices to Catch Ride at the contact address designated in the Platform or in any Additional Terms, with a copy by email to such address as Catch Ride may specify. These Terms are drafted in English. To the extent any translated version conflicts with the English version, the English version shall control.
